Prakash Mulani

Prakash is a Principal Director of M & A Law Corporation and heads our Corporate and Commercial Practice Group.

He has a diverse practice in the areas of corporate governance, corporate and commercial disputes, personal and corporate insolvency as well as international trade.

Arbitration & Litigation

Prakash also has an active practice in corporate and commercial dispute resolution both through litigation in the local courts and domestic and international arbitration under various national and major multi-national arbitration institutions. Some of the more noteworthy cases he has handled over the last few years include:

  • A Supreme Court action followed by two rounds of appeal and culminating with the final decision of the Court of Appeal, in favour of our clients, invalidating the instruments of assignment of loan agreements and providing critical legal guidelines on ratification of a company’s unauthorised actions;
  • Insolvency action involving the implementation of Judicial Management Orders and restructuring of a listed company in the energy sector;
  • Actions in the High Court and the State Courts regarding disputes over Strata Properties between Management Corporations and Subsidiary Proprietors;
  • Arbitration proceedings regarding real estate investment instruments dealing with Indonesian properties;
  • A shareholders action in which he represented ousted directors of a public listed company;
  • Shareholder disputes in which he represented the majority shareholders who were foreign listed companies; the disputes resulted in about 7 actions being commenced in the High Court concurrently;
  • A decision of the Court of Appeal which considered the standard of compliance of Statutory Demands in respect of bankruptcy actions;
  • Litigation and international arbitration actions in which he represented a state-owned enterprise of Indonesia in respect of disputes over debt instruments;
  • A defamation action in which the " newspaper rule " was first considered by the High Court of Singapore;
  • A landmark High Court action regarding the enforcement of terms of the Singapore Logistics Association (formerly the Singapore Freight Forwarders Association) relating to limitation of liability, which are similar to standard terms applied internationally by the British International Freight Association and FIATA;and
  • Successful representation of a distressed logistics company through the implementation of a Judicial Management process coupled with a Scheme of Arrangement

Commercial and Transactional

Prakash acts for various private companies/businesses and advises both their boards of directors and individual directors on corporate governance, which include advice on the corporate structure of businesses, the incorporation of companies and partnerships and employment law. He also advises on mergers, acquisitions and joint ventures, which are particularly active practices of the corporation in light of our close connection with clients in the region.

Some of the recent or typical matters Prakash advises on include:

  • Representing clients on mergers, acquisitions and joint ventures and drafting of necessary corporate agreements towards completion and post-completion obligations;
  • Assisting clients by bringing them into contact with new business opportunities and following this up with the necessary legal advice and support to seal such deals;
  • Represented a target company in the energy sector in the Republic of Indonesia in a reverse takeover for public listing in Singapore in a transaction exceeding US$100 million in value;
  • Represented target companies and a mine in the Republic of Indonesia in a private sale in a transaction exceeding US$30 million.

Prakash also has extensive experience acting for investors in formulating "exit- strategies". This is particularly relevant in circumstances where the financial prospects of the investment vehicle appear less than encouraging and require the formulation of a strategy to allow for the pulling out of such investments in the quickest possible time i.e. in essence a salvage operation. Some of the matters, which he has successfully acted in, include: 

  • Acting for a group of investment companies who formed the majority shareholders of an investment vehicle and advising them on an efficient and cost-effective exit from the vehicle;
  • Acting for a venture capitalist subsidiary of a multinational company who formed the majority shareholder of an investment vehicle and advising them on an efficient and cost-effective exit from the vehicle whilst at the same time dealing with disputes of disgruntled minorities who were also the founders of the investment vehicle.
  • Acting for a listed local company who formed the minority shareholder of an investment vehicle and advising them on an efficient and cost-effective exit from the vehicle whilst that the same time dealing with disputes and opposition from the majority who controlled the management.
  • Acting for the management of a dot.com vehicle and advising them on an efficient and cost-effective exit from the vehicle to salvage the existing investments whilst at the same time advising on a management buy-out of the business.

In the areas of commercial trade, Prakash regularly advises on various legal aspects of international trade including issues regarding bills of lading, contracts of carriage by sea and air, charter parties, international carriage of goods, and multi-modal transport.

Others

Prakash is a member of the Law Society of Singapore and Singapore Academy of Law. He is a regular speaker at conferences and seminars. He is also a registered Commissioner for Oaths.
